According to the Competition & Consumer Authority of Botswana, Mascom Wireless Botswana has submitted an intent to acquire 100% shareholding of MTN Business Solutions Botswana, an entity which offers internet services in the country via a virtual private network (VPN).
The Acquiring Enterprise, Mascom, is a company incorporated in accordance with the Laws of the Republic of Botswana. Mascom is controlled by Deci Investments (Pty) Ltd (“Deci Investments”). The other shareholder in Mascom, holding approx. 40% of its issued share capital is Econet Wireless Citizens (“Econet Citizens”). Deci Investments is a Botswana based company controlled by Botswana Public Officers Pension Funds (“BPOPF”).
The other shareholder in Deci Investments, holding approx. 33.3% is Mobile Botswana Ltd (“Mobile Botswana”). Econet Citizens is controlled by Mobile Botswana. The other shareholder in Econet Citizens, holding approx. 17.2% of its issued share capital, is Econet Investments Ltd (“Econet Investments”). Mobile Botswana is a 100% subsidiary of MTN International (Mauritius), which is in turn indirectly wholly owned by MTN Group Limited.
The Target Enterprise, MTN Botswana, is a company incorporated in accordance with the Laws of Republic of Botswana. MTN Botswana does not control any entity in Botswana. MTN Botswana is controlled by MTN Business Solutions (Pty) Ltd, a company registered in South Africa.
The authority has notified the public that any stakeholder views for or against the proposed merger, which may be sent within 10 days.
